1. Nature of Services
Kairosinfra unit of S4Fortune Consulting LLP provides independent technical due diligence and AI risk auditing services. Our reports, including the “Phase 0 Verdict” and “Phase 1 Full Risk Audit,” are professional opinions based on technical forensic analysis. We are auditors, not software developers; as per our Zero Implementation Conflict mandate, we do not provide remediation or coding services.
2. No Financial or Investment Advice
The information provided in our “Verdict Memos” is for technical assessment purposes only. S4Fortune Consulting LLP is not a SEBI-registered investment advisor, law firm, or financial institution. Our reports should not be construed as a recommendation to buy, sell, or hold any security or asset. The final investment decision rests solely with the Client.
3. Fees and Payment Terms
Service Fees: Fees are as quoted in the specific Invoice or Statement of Work (SOW) provided to the Client.
Payment Processing: All online payments are processed securely via PayU. By initiating a payment, you agree to PayU’s terms and confirm that you are authorized to use the payment method provided.
Taxes: All fees are subject to applicable GST (18%) as per Indian tax laws.
4. Intellectual Property
All forensic methodologies, proprietary “AI Liability Database” insights, and the format of the “Kairos Verdict Memo” are the intellectual property of S4Fortune Consulting LLP. Clients are granted a non-exclusive license to use the final report for their internal investment decision-making only.
5. Limitation of Liability
To the maximum extent permitted by law, S4Fortune Consulting LLP shall not be liable for any financial losses, “haircuts,” or failed acquisitions resulting from the use of our reports. Our liability is strictly limited to the total amount of fees paid by the Client for the specific service in question.
6. Client Obligations
For Phase 1 Audits, the Client is responsible for ensuring that S4Fortune Consulting LLP is provided with “Read-Only” access to the target’s technical assets (GitHub, AWS, etc.). Any delays in data ingestion caused by the Client or the Target Company may result in a shift in the 48–72 hour delivery sprint.
7. Termination of Service
Either party may terminate an engagement before work has commenced. However, once “Data Ingestion” or “Forensic Analysis” has begun, the full fee as per the invoice is due and payable.
8. Governing Law and Jurisdiction
These terms are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
